Section 01

About Zrido & the Platform Model

Zrido is a technology platform owned and operated by Kalmbyte Technologies Private Limited, a company incorporated under the Companies Act, 2013, with its registered office in India. Zrido's application and website (collectively, the "Platform") provide a marketplace that connects independent transportation service providers ("Drivers") with individuals seeking transportation services ("Riders").

Kalmbyte is NOT a transportation company. Zrido does not provide transportation services, does not employ drivers, and does not own, operate, or control any vehicles. All transportation services are provided by independent third-party drivers who are not agents, employees, or partners of Kalmbyte. Kalmbyte's role is limited to providing technology that facilitates connections between Riders and Drivers.

This distinction is critical: any ride you take via the Zrido Platform is a private contract for carriage directly between you and the Driver. Kalmbyte is not a party to that contract and accepts no liability arising therefrom, except as expressly stated in these Terms.

Zrido operates on a zero-commission model. Drivers retain 100% of their fare revenue. Kalmbyte generates revenue through optional premium features, in-app advertising, and partnership programs — none of which affect the Driver's earnings from your ride fare.

Section 02

Acceptance of Terms

By accessing or using the Zrido Platform in any manner, including but not limited to downloading the application, creating an account, browsing the Platform, or requesting a ride, you acknowledge that:

You have read, understood, and agree to be bound by these Terms and our Privacy Policy.
You are at least 18 years of age or have the consent of a legal guardian.
You have the legal capacity to enter into a binding agreement.
If you are using the Platform on behalf of a company or organization, you have the authority to bind that entity to these Terms.

If you do not agree to any part of these Terms, you must immediately cease using the Zrido Platform and uninstall the application.

Section 03

Definitions

"Platform": The Zrido mobile application, website (zrido.com), APIs, and all related technology services operated by Kalmbyte Technologies Pvt. Ltd.
"Rider" / "User": Any individual who creates an account on or uses the Platform to request transportation services.
"Driver": An independent third-party individual who has registered on the Platform to offer transportation services using their own vehicle, and who holds all required licenses, permits, and insurance as mandated by applicable law.
"Transportation Services": The point-to-point carriage of a Rider from a pickup location to a destination, provided solely by the Driver under a private contract for carriage.
"Fare": The amount payable by the Rider to the Driver for Transportation Services, calculated using Zrido's fare estimation algorithm.
"Account": A registered user profile on the Zrido Platform, protected by credentials provided by the User.
"Content": All text, images, audio, video, reviews, ratings, and other data submitted or generated through the Platform.

Section 04

Eligibility & Account Registration

To use the Zrido Platform, you must:

Be at least 18 years of age. If you are between 13–17 years of age, you may only use the Platform under the direct supervision of a parent or legal guardian who has agreed to these Terms on your behalf.
Provide accurate, current, and complete registration information including a valid mobile number and email address.
Maintain the security of your login credentials. You are responsible for all activity that occurs under your account.
Promptly notify Kalmbyte at legal@zrido.com if you suspect unauthorized access to your account.
Not create more than one account. Multiple accounts may result in permanent suspension.

Kalmbyte reserves the right to suspend, terminate, or refuse access to any account at its sole discretion, with or without notice, if these Terms are violated.

Section 05

Use of the Platform

The Zrido Platform is licensed to you on a limited, non-exclusive, non-transferable, revocable basis solely for your personal, non-commercial use. You agree to use the Platform only for its intended purpose and in compliance with all applicable laws and regulations.

You agree NOT to:

Use the Platform for any unlawful purpose or in violation of any applicable Indian or international laws.
Reverse-engineer, decompile, disassemble, or attempt to extract the source code of the Platform.
Use automated bots, scrapers, or scripts to access or interact with the Platform.
Create fake accounts, manipulate ratings, or engage in any fraudulent activity.
Share your account credentials with any third party.
Use the Platform to harass, threaten, defame, or harm any Driver or other user.
Submit false information, false emergency reports, or fraudulent refund claims.
Interfere with or disrupt the Platform's servers, networks, or security systems.

Section 06

Booking & Rides

When you request a ride through the Zrido Platform, you are making a request to an available independent Driver in your area. A booking is confirmed only when a Driver accepts your request. Kalmbyte does not guarantee the availability of Drivers at any given time or location.

Scheduled Rides: Pre-booked rides are subject to Driver availability and are not guaranteed. Kalmbyte is not liable for any Rider loss arising from a Driver's failure to appear for a scheduled ride.
Ride-Sharing / Pooling: Where pool rides are offered, you consent to sharing the vehicle with other verified Riders. All co-passengers are subject to the same Terms.
Waiting Time: Drivers may charge a waiting fee if a Rider is not ready within the time stipulated in the app. This fee is payable to the Driver directly.
Toll & Charges: Any applicable tolls, state entry taxes, parking fees, or government levies are payable by the Rider and are shown in the fare breakdown.
Rider Responsibility During Rides: Riders must comply with all reasonable requests made by the Driver, wear seatbelts where mandated by law, and behave in a lawful and respectful manner throughout the journey.

Age Restriction for Booking: Riders must be 18+ years old to book a ride independently. Booking a ride for a minor under 12 years of age without an accompanying adult is strictly prohibited.

Section 07

Fares & Payments

All fares displayed on the Zrido Platform are estimates based on distance, time, vehicle category, and real-time demand. The final fare may vary from the estimate due to route changes, traffic conditions, tolls, or waiting time.

Fare Display: The estimated fare is shown before you confirm a booking. By confirming, you agree to pay the final metered fare.
Payment Methods: Zrido supports in-app digital payment (UPI, cards, wallets) and cash payments. Available methods are displayed at booking.
Surge Pricing: During periods of high demand, fares may increase. You will be notified of any surge multiplier before confirming your ride.
GST & Taxes: Applicable Goods and Services Tax (GST) and other statutory levies will be added to the fare as per Indian tax laws and reflected in your receipt.
Failed Transactions: In case of a failed payment, you remain liable for the fare amount. Kalmbyte may restrict Platform access until outstanding amounts are cleared.
Promo Codes & Discounts: Promotional offers are subject to their own terms and may be withdrawn at any time. Misuse of promo codes will result in account suspension.
Receipts: Digital receipts are available in-app after each completed trip. For GST invoices, contact billing@zrido.com.

All fare payments made via the in-app payment system are processed by third-party payment gateway providers. Kalmbyte does not store full card details. Payment disputes must be raised within 7 days of the transaction.

Section 08

Cancellations

You may cancel a confirmed ride booking through the Zrido app at any time. However, the following cancellation charges apply:

Within 2 minutes of booking	No charge (Free cancellation window)
2–5 minutes after booking	₹20 – ₹30 (based on city and vehicle type)
After Driver arrives at pickup point	₹30 – ₹50 or a fixed cancellation fee
No-show (Driver waited 5+ minutes)	Full minimum fare may be charged

Cancellation fees are paid to the Driver as compensation for their time and fuel costs. Kalmbyte does not retain cancellation fees. For the detailed Refund & Cancellation Policy, see our Refund Policy.

Repeated cancellations (more than 3 in a single day or a pattern of abuse) may result in temporary account suspension or access restrictions.

Section 09

Relationship with Drivers

Drivers on the Zrido Platform are independent contractors and are not employees, agents, or representatives of Kalmbyte Technologies Pvt. Ltd. Kalmbyte does not direct, supervise, or control the manner in which Drivers perform Transportation Services.

Accordingly, Kalmbyte:

Does not guarantee the quality, safety, or fitness of any Driver or vehicle.
Does not accept liability for any accident, injury, loss, or damage caused by a Driver's negligence or misconduct.
Does not provide insurance coverage to Riders (Riders are encouraged to have their own personal accident insurance).
Does not guarantee that Drivers hold all legally required commercial licenses or permits (though we require attestation during onboarding).

Driver Verification Disclaimer: Zrido conducts background verification checks on Drivers during onboarding, including license verification and police verification where feasible. However, these checks do not constitute a guarantee of character, fitness, or legal compliance. Kalmbyte is not liable for any harm caused by a Driver irrespective of whether such harm arose before or after verification.

Section 10

Prohibited Conduct

The following conduct is strictly prohibited on the Zrido Platform. Violation may result in immediate account termination, legal action, and/or referral to law enforcement authorities:

Physical assault, verbal abuse, threats, or intimidation toward Drivers or other users.
Sexual harassment, molestation, or any conduct violating the POSH Act, 2013 or the Indian Penal Code.
Transportation of illegal substances, prohibited weapons, or contraband of any kind.
Requesting rides for purposes of trafficking, illegal activity, or harm to third parties.
Damaging or soiling a Driver's vehicle. Riders will be held liable for cleaning or repair costs.
Providing false information during registration, rides, or support requests.
Attempting to defraud Drivers of their fare by any means.
Recording Drivers without consent in jurisdictions where consent is required.
Discrimination against Drivers on the basis of religion, caste, gender, race, language, or disability.

Section 11

Intellectual Property

All content, features, functionality, trademarks, logos, and technology forming part of the Zrido Platform — including but not limited to the Zrido name, logo, app design, algorithms, and software — are the exclusive property of Kalmbyte Technologies Private Limited or its licensors and are protected under the Copyright Act, 1957, the Trade Marks Act, 1999, and applicable international intellectual property laws.

You are granted a limited, personal, non-commercial license to use the Platform solely as permitted under these Terms. No rights are granted to copy, reproduce, modify, sublicense, sell, or commercially exploit any part of the Platform or its content.

By submitting reviews, ratings, or any content to the Platform, you grant Kalmbyte a worldwide, perpetual, royalty-free, irrevocable license to use, reproduce, modify, and display such content for any purpose, including promotional use.

Section 12

Disclaimer of Warranties

THE ZRIDO PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, KALMBYTE EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Any warranty that the Platform will be uninterrupted, error-free, secure, or virus-free.
Any warranty regarding the accuracy, reliability, or completeness of any information on the Platform.
Any warranty regarding the quality, safety, or legality of Transportation Services provided by Drivers.
Any warranty that Drivers hold all required licenses, permits, or insurance under the Motor Vehicles Act, 1988 or any other applicable law.

Your use of the Platform and any Transportation Services obtained through it is entirely at your own risk. Kalmbyte does not endorse any Driver and does not guarantee the outcome of any ride.

Section 13

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KALMBYTE TECHNOLOGIES PRIVATE LIMITED, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY:

Indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, personal injury, property damage, or emotional distress.
Damages arising from your reliance on any information obtained through the Platform.
Damages arising from Transportation Services, including accidents, delays, injury, or death caused by Drivers.
Damages arising from unauthorized access to your account or personal data despite reasonable security measures.
Damages arising from force majeure events, including natural disasters, government actions, strikes, pandemics, or internet outages.

IN JURISDICTIONS WHERE EXCLUSION OF LIABILITY IS NOT PERMITTED, KALMBYTE'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO KALMBYTE IN THE SIX (6) MONTHS PRECEDING THE CLAIM; OR (B) ₹5,000 (INDIAN RUPEES FIVE THOUSAND ONLY).

Nothing in these Terms limits Kalmbyte's liability for fraud, willful misconduct, or death or personal injury caused by Kalmbyte's own gross negligence.

Section 14

Indemnification

You agree to defend, indemnify, and hold harmless Kalmbyte Technologies Private Limited and its officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

Your violation of these Terms or any applicable laws or regulations.
Your use of the Zrido Platform, including any Transportation Services obtained through it.
Your violation of any third party's rights, including privacy, intellectual property, or property rights.
Any content, data, or information you submit to the Platform.
Your negligent or wrongful conduct during a ride or on the Platform.

Section 15

Dispute Resolution & Arbitration

Informal Resolution: Before initiating any formal dispute, you agree to first contact Zrido Support at legal@zrido.com and attempt to resolve the issue in good faith within 30 days.

Binding Arbitration: If the dispute cannot be resolved informally, you and Kalmbyte agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted by a sole arbitrator mutually agreed upon, failing which by an arbitrator appointed by the High Court having jurisdiction.

Seat of Arbitration: Bengaluru, Karnataka, India.
Language: English.
Costs: Each party shall bear its own arbitration costs unless the arbitrator awards otherwise.

Class Action Waiver: You agree to resolve disputes with Kalmbyte on an individual basis only. You waive any right to bring or participate in a class action, collective action, or consolidated arbitration proceeding against Kalmbyte.

Exceptions: Either party may seek injunctive or other equitable relief from a competent court to prevent irreparable harm pending arbitration.

Section 16

Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Subject to the arbitration clause above, you submit to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India for any disputes not subject to arbitration.

If you are using the Platform outside of India, you do so at your own risk and are responsible for compliance with local laws.

Section 17

Changes to These Terms

Kalmbyte reserves the right to modify these Terms at any time. Changes will be communicated via in-app notification and/or email to the registered address. The updated Terms will be effective from the date of publication unless stated otherwise.

Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must cease using the Platform immediately.

As required under the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, Kalmbyte will acknowledge grievances within 24 hours and resolve them within 15 days of receipt.
